If you are hoping to raise significant funding from external equity investors, we regularly help clients to implement share issues using both the Enterprise Investment Scheme, and the Seed Enterprise Investment Scheme (EIS and SEIS). These shares are attractive to investors because of the significant personal tax reliefs available, which offset the investment risk from investing capital into unquoted companies.
We can take you through the whole process. This can include using HMRC’s assurance facility to make sure that your activities, your plans and the terms of the share issues will meet the qualifying conditions. This is helpful for your potential investors as this means that HMRC agrees that EIS relief will be given, so long as the transactions are carried out exactly as disclosed in the assurance application.
The next stages involve dealing with the share issues, preparing the compliance application EIS1 for submission to HMRC and completing the EIS3 certificates for the investors once clearance is given. EIS and SEIS schemes are similar but there are important distinctions. And of course we deal with the complex tax affairs of EIS investors, to help them make best use of the associated personal income tax and capital gains tax reliefs.
